Entertainment and media companies frequently make payments to artists, performers, producers, directors, musicians, creators, influencers, and other talent. The U.S. tax treatment of these payments may depend on the nature of the services, where the services are performed, the recipient's U.S. tax residency status, and the contractual arrangement. Payments to foreign artists performing services in the United States may also be subject to U.S. withholding and information reporting requirements.

FOREIGN ARTIST WITHHOLDING

해외 Artist의 미국 공연과 원천징수

​

Nonresident alien artists performing independent personal services in the United States are generally subject to U.S. income tax on their U.S.-source performance income. Without an applicable exception or other permitted withholding treatment, payments to nonresident alien artists performing as independent contractors are generally subject to 30% federal withholding on gross compensation.  The withholding and reporting requirements should be reviewed before payments are made, particularly for concert tours, live performances, filming, promotional events, and other U.S. appearances.

 

한국 Artist가 미국에서 공연, 촬영 또는 기타 서비스를 제공하고 수입을 받는 경우 미국 세금 및 원천징수 문제가 발생할 수 있습니다.특히 Nonresident Alien Artist가 Independent Contractor로 미국에서 공연하는 경우 일반적으로 Gross 공연수입에 대해 30%의 연방 원천징수가 적용될 수 있습니다. IRS공연 규모가 큰 경우 30% Gross Withholding으로 상당한 자금이 공연 시점에 원천징수될 수 있으므로 사전에 Central Withholding Agreement (CWA) 적용 가능성을 검토하는 것이 중요합니다.

 

CENTRAL WITHHOLDING AGREEMENT (CWA)

Foreign Artists Performing in the United States

 

A Central Withholding Agreement (CWA) is an agreement among a nonresident alien artist or athlete, a designated withholding agent, and the IRS that can provide for U.S. withholding based on anticipated net income and graduated tax rates.Rather than simply applying the general 30% withholding to gross performance income, a CWA is designed to produce withholding that more closely reflects the artist's anticipated U.S. income tax liability. A CWA cannot reduce withholding below the anticipated income tax liability. IRSFor tours and productions with substantial qualifying expenses, this can significantly improve cash flow by reducing excessive withholding during the performance period.

 

A CWA application generally requires information regarding:

- U.S. performance itinerary

- Performance contracts and agreements

- Expected U.S. income- Expected expenses

- Travel and production costs-

- Artist and supporting personnel

- Designated withholding agent

- Prior U.S. tax compliance

The artist must meet IRS eligibility requirements, including required tax-return compliance and arrangements for taxes previously due.

 

CWA 신청 및 공연 전 Tax Planning

CWA를 활용하면 단순히 Gross 공연수입의 30%를 원천징수하는 대신, IRS가 예상 공연수입과 관련 비용 등을 검토하여 예상 Net Income과 미국 세금에 보다 근접하도록 원천징수액을 결정할 수 있습니다. IRS예를 들어 미국 Tour의 Gross Revenue가 크더라도 Venue, Production, Travel 및 기타 관련 비용이 상당하다면 Gross Revenue에 대한 30% 원천징수와 실제 예상 미국 세금 사이에 큰 차이가 발생할 수 있습니다.CWA는 이러한 과도한 원천징수로 인해 공연 기간 동안 자금이 장기간 묶이는 문제를 줄이는 데 도움이 될 수 있습니다.CWA 신청에는 일반적으로 Form 13930, 공연 일정, 계약서, 예상 수입 및 비용 Budget 등이 필요합니다. IRS는 신청서를 해당 CWA에 포함될 첫 번째 공연 또는 Event 최소 45일 전에 접수해야 한다고 규정하고 있으며, 45일 기한을 넘긴 신청은 처리하지 않습니다. 따라서 CWA는 공연이 임박한 후 검토하기보다 미국 Tour 또는 공연계획 단계에서 미리 준비하는 것이 중요합니다.

Cross-border payments in the entertainment industry may create U.S. withholding and information reporting obligations.

Q7. 미국법인이 한국 Artist에게 지급하면 Form 1042-S를 발행해야 하나요?

U.S.-source personal service income을 Nonresident Alien Entertainer에게 지급하는 경우 일반적으로 Form 1042-S Reporting을 검토해야 합니다. IRS는 이러한 Artist/Entertainer의 U.S.-source personal service income을 Form 1042-S 보고대상으로 설명하고 있습니다.

 

Q8. 한국 본사에 Royalty를 지급하면 미국에서 원천징수를 해야 하나요?

미국 원천의 Royalty가 외국법인에 지급되는 경우 미국 원천징수 문제가 발생할 수 있습니다.실제 세율은 지급의 성격, IP 사용지역, 수취인의 자격 및 적용 가능한 한·미 조세조약 등에 따라 달라질 수 있으므로 계약과 지급구조를 함께 검토해야 합니다.

 

Q9. Content License Fee와 Service Fee는 세무상 같은 것인가요?

항상 같지는 않습니다.Content 또는 IP 사용권에 대한 대가와 Production, Marketing 또는 Management Service에 대한 대가는 서로 다른 성격의 소득으로 분류될 수 있으며 이에 따라 미국 원천징수와 조세조약 적용도 달라질 수 있습니다.따라서 계약서에 붙인 명칭만으로 판단해서는 안 됩니다.

Q10. 한국 본사와 미국법인의 Content License Fee나 Management Fee는 자유롭게 정할 수 있나요?

한국 본사와 미국 자회사는 Related Parties이므로 거래조건과 가격은 일반적으로 Arm's-Length Principle에 부합해야 합니다.각 회사가 수행하는 기능, 보유하는 권리와 위험, 실제 제공하는 서비스 등을 분석하여 적절한 Transfer Pricing 정책을 수립하는 것이 중요합니다.

 

Q11. 한국 본사가 미국 Entertainment 법인을 100% 소유하면 추가 신고가 있나요?

있을 수 있습니다.외국 주주가 25% 이상 소유한 미국법인이 한국 본사 등 Foreign Related Party와 Reportable Transaction을 하는 경우 Form 5472 등의 국제조세 정보보고 의무가 발생할 수 있습니다.따라서 Capital Contribution, Loan, Royalty, Management Fee 및 Content License 등 Intercompany Transactions를 정확하게 기록하는 것이 중요합니다.
