Franchise Fees, Royalties & Advertising Funds

 

Franchise businesses may receive initial franchise fees, continuing royalties, advertising or marketing contributions, and other payments from franchisees. Each payment should be properly classified and accounted for based on the underlying franchise agreement and applicable accounting and tax requirements. A divertising funds may also require separate accounting to distinguish amounts collected from franchisees from the franchisor's own operating revenue and expenses.

The timing of revenue recognition may differ depending on the nature of the franchisor's performance obligations and the terms of the franchise agreement. Multi-State Tax & Sales Tax

Franchise and restaurant businesses frequently expand across multiple states.A company may create state tax obligations through franchisees, company-owned locations, employees, inventory, offices, licensing arrangements, or other business activities. State income tax, franchise tax, sales tax, and other filing requirements should therefore be evaluated as the business expands.

 

미국 여러 주에서 가맹점을 운영하거나 Franchise Fee와 Royalty를 받는 경우 법인이 설립된 주만 검토해서는 충분하지 않을 수 있습니다. 각 주의 Nexus 및 소득배분 기준에 따라 추가적인 세무신고 의무가 발생할 수 있으므로 사업 확장과 함께 Multi-State Tax를 검토해야 합니다.

반드시 미국법인을 설립해야 하는 것은 아니며 사업구조에 따라 달라질 수 있습니다. 그러나 미국에서 직접 Franchise 사업을 운영하거나 직원을 고용하고, Franchise Fee 또는 Royalty를 수취하며 지속적인 사업활동을 하는 경우에는 미국법인 설립과 한국법인의 직접 운영 구조를 세무·법률 측면에서 함께 비교하는 것이 좋습니다.

 

Q2. 미국 전체 Master Franchise를 주는 것과 주별 또는 지역별 권리를 주는 것은 세무상 차이가 있나요?

가능합니다.Master Franchise Agreement의 권리 범위, Franchise Fee와 Royalty 지급구조, 미국 내 운영주체 및 실제 사업지역에 따라 연방 및 주 세무 이슈가 달라질 수 있습니다. 따라서 계약을 체결하기 전에 사업구조와 자금흐름을 회계·세무 관점에서도 검토하는 것이 좋습니다.

 

Q3. Initial Franchise Fee를 받으면 전액을 바로 매출로 인식할 수 있나요?

항상 그런 것은 아닙니다. Franchise Agreement에 따라 Franchisor가 제공해야 하는 서비스와 Performance Obligations를 검토하여 적절한 Revenue Recognition 시점을 결정해야 합니다.따라서 현금을 받은 시점과 회계상 수익을 인식하는 시점이 다를 수 있습니다.

 

Q4. Franchise Royalty는 어느 주의 소득으로 신고해야 하나요?

Franchise Royalty의 State Tax 처리는 각 주의 법률과 소득배분 규칙에 따라 달라질 수 있습니다.Franchisor가 한 주에 설립되어 있더라도 여러 주의 Franchisee로부터 Royalty를 받는 경우 다른 주에서 세무신고 의무가 발생할 가능성을 검토해야 합니다.사업이 여러 주로 확대될수록 Multi-State Tax 분석이 중요해집니다.

 

Q5. Franchisee에게 받은 Advertising Fee는 회사 매출인가요?

반드시 일반적인 영업매출과 동일하게 처리되는 것은 아닙니다.Franchise Agreement의 조건, 자금의 사용 목적, Franchisor의 의무 등을 검토하여 적절한 회계처리를 결정해야 합니다.Advertising Fund는 일반 운영자금과 구분하여 관리하는 것이 바람직한 경우도 있습니다.

 

Q6. 식당에서 고객에게 자동으로 부과하는 Service Charge는 Tip과 같은 건가요?

일반적으로 고객이 자율적으로 결정하는 Tip과 사업체가 의무적으로 부과하는 Service Charge는 세무 및 Payroll 측면에서 동일하게 취급되지 않습니다.예를 들어 일정 인원 이상의 테이블에 자동으로 일정 비율을 부과하는 금액은 자발적인 Tip과 다른 처리가 필요할 수 있습니다.따라서 POS 설정부터 Payroll 및 회계처리까지 일관되게 관리하는 것이 중요합니다.

 

Q7. 여러 개의 Restaurant Location을 운영하면 회계를 하나로 관리해도 되나요?

법인구조에 따라 하나의 회계 시스템을 사용할 수 있지만, 각 Location의 실적은 별도로 확인할 수 있도록 관리하는 것이 좋습니다.매장별 Sales, Food Cost, Labor Cost, Rent, Delivery Fee 및 Operating Profit을 비교할 수 있어야 경영진이 실제 수익성을 판단할 수 있습니다.

 

Q8. 한국 본사에 Royalty나 Management Fee를 지급할 때 미국에서 세금을 원천징수해야 하나요?

지급의 성격과 적용되는 조세조약에 따라 미국 원천징수 의무가 발생할 수 있습니다.Royalty, Management Fee, Interest 등은 각각 세무처리가 다를 수 있으며, 한·미 조세조약 적용 여부와 필요한 서류 및 정보보고도 함께 검토해야 합니다.단순히 한국 본사로 송금했다는 사실만으로 동일한 세율이 적용되는 것은 아닙니다.

 

Q9. 한국 본사가 미국 Franchise 법인을 100% 소유하면 추가 신고가 있나요?

있을 수 있습니다.외국 주주가 25% 이상 소유한 미국법인이 한국 본사 등 외국 특수관계자와 Reportable Transaction을 하는 경우 Form 5472 등 국제조세 정보보고 의무가 발생할 수 있습니다.따라서 Royalty, Management Fee, 제품거래, 대여금 및 자본거래 등을 정확하게 기록하는 것이 중요합니다.

 

Q10. 미국 Franchise 사업을 시작하기 전에 CPA와 가장 먼저 검토해야 하는 것은 무엇인가요?
